# NON-DISCLOSURE AGREEMENT (NDA)

(hereinafter: "Receiving Party")


## Section 1. Subject matter

The Parties undertake to maintain the confidentiality of Confidential Information disclosed in connection with discussions regarding potential cooperation in the implementation of an AI System.


## Section 2. Confidential Information

Confidential Information shall mean all technical, commercial, organizational, and financial information disclosed by the Disclosing Party, in particular:
- data concerning business processes, pricing, and clients
- personal data of patients/clients
- system access credentials
- development plans and business strategies

The following shall not constitute Confidential Information:
a) information that is publicly available;
b) information that was known to the Receiving Party prior to disclosure;
c) information that was independently developed;
d) information that must be disclosed by law.


## Section 3. Obligations

The Receiving Party undertakes to:
a) use the Confidential Information solely for the purpose of evaluating potential cooperation;
b) not disclose the Confidential Information to third parties;
c) safeguard the Confidential Information with due diligence;
d) return or destroy the Confidential Information at the request of the Disclosing Party.


## Section 4. Contractual penalty

For each breach of this Agreement, the breaching Party shall pay a contractual penalty of [INSERT -- e.g. PLN 10,000 / PLN 50,000]. The contractual penalty does not preclude seeking damages on general principles.


## Section 5. Term

This Agreement shall remain in force for a period of 2 years from the date of signing. The confidentiality obligation shall remain in effect for the duration of the Agreement and for 2 years after its expiration.


## Section 6. Final provisions

Governing law: Polish law.
Competent court: Krakow.
